1. Subject
The present General Terms and Conditions of Purchase (GTC) define the terms and conditions under which Pallet Hub purchases pallets from its suppliers through the marketplace. Any order placed implies unconditional acceptance of these GTC.
2. Orders
- Orders are placed exclusively through the Pallet Hub platform.
- Each order becomes final after acceptance by the supplier.
- The supplier agrees to confirm the availability and delivery times within [X] business days following the order.
3. Price and Payment
- The prices of the pallets are agreed upon in each order and include all applicable taxes, unless otherwise stated.
- Payments are made within 5 days from the receipt of the invoice and the compliant delivery of the pallets.
- Pallet Hub reserves the right to refuse any payment for non-compliant pallets.
4. Delivery
- The pallets must be delivered to the address and according to the schedule specified in each order.
- The supplier is responsible for the packaging, transportation, and compliance of the pallets.
- The transfer of ownership and risks occurs upon actual delivery at Pallet Hub or to the designated end customer.
- Any delay must be reported immediately; Pallet Hub reserves the right to impose penalties or cancel the order.
5. Quality and Compliance
- The pallets must comply with applicable European and national standards (dimensions, treatment, safety).
- The supplier guarantees that the pallets are free from defects and comply with the agreed specifications.
- Pallet Hub reserves the right to refuse any non-compliant pallet and to require its replacement or refund.
6. Returns and Disputes
- Non-compliant pallets can be returned to the sender at the supplier's expense.
- Any dispute related to the quality, quantity, or delivery of pallets will be handled in accordance with our internal complaint procedures.
- The decisions made by Pallet Hub in the context of a dispute are binding on the supplier, unless proven otherwise.
7. Responsibilities
- The supplier is solely responsible for damages caused by its pallets, including to the carrier or the end customer.
- Pallet Hub shall not be held responsible for damages related to the provided pallets.
8. Confidentiality
- All information exchanged within the framework of the business relationship must remain confidential.
- This obligation lasts for [X] years after the end of the business relationship.
9. Duration and Termination
- The CGA applies as long as the supplier makes sales through Pallet Hub.
- Pallet Hub may terminate any supplier in the event of a serious breach of the General Terms and Conditions, with immediate effect.
10. Governing Law and Jurisdiction
- The present General Terms and Conditions are governed by French law.
- Any dispute will be subject to the exclusive jurisdiction of the courts of [city where Pallet Hub is located].
